70 Largest US REITs First Trading in 2009 Through First Half 2014 Market Prices Up 18% From First Day Trading Closing Price

From an extensive Securities Exchange Commission (SEC) Review of US Real Estate Investment Trusts (REITs), I found 70 publicly-traded US REITs which first started trading in the post financial meltdown five and a half year period of 2009 through the current first half of 2014 and where the US REIT has a Market Capitalization of more than $100 mil each presently.

The historical stock market prices of these US REITs were obtained from the following two excellent internet resources  ....  Google Finance and MarketWatch Big Charts.

To illustrate the increased interest in new REITs formulated, the number of new publicly-held US REITs with Stock Market Capitalizations above $100 mil currently have really accelerated with the 24 new US REITs created in just the year 2013 being nearly triple the annual number created in each of the years 2009 through 2012.  Both the comparatively much more attractive annual yields on REITs in the US Federal Reserve-driven extremely low interest rate environment and the very attractive tax benefits from REITs contributed to this substantial increase in new REIT formulation. 

Of these 70 new US REITs since early 2009, 50 of them were Initial Public Offerings (IPOs) and nearly all of the other 20 were spinoffs of mostly the Real Estate or the Real Estate Mortgage Investment assets of a company into a new publicly-traded US REIT.

To qualify as a US REIT under the Internal Revenue Service (IRS) Code, the Company must have at least 75% of its Total Assets being either Real Estate Assets or Real Estate Mortgage Investments, including US Government Agency Real Estate Related Investments.

When you combine these 70 new US REITs created in the most recent five and a half years with the 130 that existed at the end of 2008, that makes a total of 200 publicly-held US REITs with Market Capitalizations above $100 mil each currently.

These 200 large publicly-held US REITs do not include the Mutual Funds and ETFs which only invest in US REITs.

The US Internal Revenue Service has reported that there are about 1,100 REITs which have filed tax returns.  This much higher 1,100 number than the above 200 is no doubt due mainly to the many privately-held REITs and also to the publicly-held REITs with Market Capitalizations of $100 mil or less.  And there are also probably some US REITs that are not classified as such in the US Government SEC Classification System.

It wouldn't surprise me if you see both the number and total assets of US REITs continue their rapid ascent.  The tax benefit of being a US REIT is just so huge.  And the Real Estate assets, including Real Estate Mortgage Investments held by US Businesses, are just so huge.

By creating a US REIT, a Company holding a lot of Real Estate which has appreciated in value will be able to monetize these now hidden assets.  It could even sale and leaseback these real estate assets and derive additional future annual earnings from amortizing the Deferred Gain resulting from the Sale-Leaseback transaction with the US REIT.

Also, the IRS definition of qualifying Real Estate Assets of US REITs has grown to be extremely broad to include even such things as Cell Towers, For-Profit Prisons, Storage Facilities, Data Centers, Outdoor Signs, Pipelines, Underground Fiber Cables and many other assets.

Furthermore, if the US Government were to decide to move some of Fannie Mae's and Freddie Mac's massive amounts of Real Estate Mortgage Investments to the private sector, I think it only makes sense that many of them will go to new and existing US REITs because the tax benefits of US REITs are so huge.  US REITs avoid the double income taxation of Regular C Corps since if REITs are properly designed, they are not taxed at the Trust level if they distribute as dividends at least 100% of their taxable income in each year. 

These 70 new publicly-held US REITs created in the most recent five and a half years with Market Capitalizations above $100 mil each generated an equally-REIT-weighted average market price increase of 18% from the First Day of Trading's Closing Market Price to the most recent July 3, 2014.  In addition, these 70 US REITs also generated nice cash dividends, particularly so since in order to retain their tax free status, they must distribute as cash dividends at least 90% of their taxable income in each year.

Generally, the longer these 70 US REITs were outstanding, the higher the average market price increase.  For instance, below here are the average market price increases through the most recent July 3, 2014 of the new US REITs created in each of the most recent four and a half years:

  • New US REITs created in 2010.....Average Market Price Increase of 52%
  • New US REITs created in 2011.....Average Market Price Increase of 25%
  • New US REITs created in 2012.....Average Market Price Increase of 13%
  • New US REITs created in 2013.....Average Market Price Increase of 9%
  • New US REITs created in 1st Half 2014.....Average Market Price Change of 0%

Of the 70 US REITs, the largest category at 18 of them was Real Estate Mortgage Investments, but they generated an average market price decline of 8% from the first day of trading's closing market price to the most recent July 3, 2014.

The REIT Industries with the highest average market price appreciation for the short period of time from when they were created to the most recent July 3, 2014 were:

  • 15 Diversified REITs, up 44%
  • 7 Industrial REITs, up 36%
  • 6 Hotel/Motel REITs, up 34%
  • 6 Retail REITs, up 27%
  • 3 Office REITs, up 21%
 There were 3 of these 70 US REITs which have more than doubled in market price in the short period from REIT creation to the most recent July 3, 2014:

  • Howard Hughes Corp, up 307%
  • Owens Realty Mortgage, up 123%
  • CoreSite Realty, up 110%
